Crossing Borders Without Crossing Lines: Unexpected Issues in International Agreements

Introduction

In our shrinking world, appointing distributors outside of the United States has become commonplace. However, laws and legal systems vary greatly from country to country, and a contract provision interpreted one way in one country may be interpreted entirely different in another country or, in fact, may be prohibited in such other country. This presentation will look at a selection of contractual provisions that are common in distribution agreements and highlight certain jurisdictions where such provisions are problematic.
